Disclosure Policy

Nippon Sheet Glass Co., Ltd. (hereinafter, “NSG Group” or the “Company”) has announced the Company’s basic principles as “ensuring open and fair business dealings” and “adhering to corporate ethical standards”. NSG Group endeavors to implement timely, appropriate and fair information disclosure activities in accordance with those principles.

1. Information Disclosure Standard

The Company discloses sufficient information in accordance with the various laws and regulations including the Financial Instruments and Exchange Act and “Rules on Timely Disclosure of Corporate Information by Issuers of Listed Securities and the Like” (hereinafter, “Timely Disclosure Rules”) provided by the Tokyo Stock Exchange.

Even in regard to information to which the Timely Disclosure Rules do not apply, if we consider it helpful to disclose it to investors and others, we seek to ensure that such information is conveyed as rapidly and fairly as possible by disclosing it to various media and posting it on the Company website (hereinafter, "Website"). 

2. Information Disclosure Method

Regarding information to which the Timely Disclosure Rules apply, the Company will follow those rules and release the information through the Tokyo Stock Exchange’s Timely Disclosure network (TDnet) after explaining it in advance to the Exchange. Immediately after the information is publicly released on TDnet, we will post it on our Website. Please understand that we may be somewhat late in posting the information on the Website due to certain preparations that must be made.

In addition, there will be cases where all the information disclosed by the Company are not released on the Website and where the information disclosed by other means is expressed in a different manner on the Website. Although the Company pays the closest attention to the content of information released on the Website, there is a possibility that certain information may be incorrect, or that it may not be displayed appropriately. We therefore ask that you use the Website with a full understanding of this possibility.

3. Business Forecast

The goals, plans and projections of the Company’s business performance that are presented on the Website are prepared and released based on information currently available to us and certain assumptions that we consider to be reasonable. The Company is naturally striving to achieve this business objective, but the actual results may largely differ, depending on various factors. Among the major factors that may affect the results are the economic environment in major markets (such as Japan, Europe, the U.S., and Asia), product supply/demand shifts, and currency exchange fluctuations. Thus, the projections presented on the Website do not reflect assurance of such business results by the Company. We therefore ask that you make investment decisions upon your judgment and at your own risk.

4. Reference to the Stock Price and Third Parties’ Investment Judgment

Please understand that the Company does not make any representations as to the adequacy of the current stock price and stock price prediction and the adequacy of investment judgments made by third parties, including analysts.

5. Quiet Period

In order to prevent the leakage of financial information and ensure the fairness of information disclosure, we observe a quiet period from the day after the end of each quarter until the day of the announcement of the financial results for that quarter. During this period, we refrain from making comments related to the financial results or responding to related questions. However, this does not apply to inquiries about information that has already been disclosed or information disclosed through TDnet.

In the event that any facts arise during the quiet period that fall under the category of timely disclosure, we will disclose such information in a timely manner in accordance with Timely Disclosure Rules.
